CONSTITUTION OF BIDEFORD MUSIC CLUB


1.    TITLE

The name of the Society shall be Bideford Music Club hereinafter referred to as the Club.

2.    OBJECTS

The object of the Club shall be to promote, improve, develop and maintain public education and appreciation of the art and science of music in all its aspects by the presentation of public concerts and recitals and by such other ways as the Club through its Committee shall determine from time to time.

3.    MEMBERSHIP

The members of the Club shall be those who pay the annual subscription at the appropriate rate or rates as shall be determined by the Committee, all subscriptions being payable in advance.

4.    OFFICERS AND COMMITTEE

The management of the Club shall be in the hands of a Committee consisting of a Chairman, Hon. Secretary, Hon. Treasurer and a minimum of three other members and not more than five; the officers and the other Committee members shall be elected at the Annual General Meeting; they shall hold office for one year and be eligible for re-election.

5.    MANAGEMENT

The management of the Club and control of finance shall be in the hands of the Committee.

6.    FINANCE

a)    The financial year shall end on April 30th.

b)    A banking account shall be opened in the name of the Club and cheques shall be signed by any one officer of the Club.

c)    The Club may receive donations, grants in aid and financial guarantees.  Tickets for any or all of its concerts and other events shall be offered for sale to the public.

d)    The income and property of the Club whencesoever derived shall be applied solely towards promoting the objects of the Club as set forth above and no portion thereof shall be paid or transferred either directly of indirectly to any member or members of the Club except in payment of legitimate expenses incurred on behalf of the Club.

7.    DISSOLUTION

In the event of the Club being wound up any assets remaining upon dissolution after payment of proper debts and liabilities shall be transferred to a charitable institution or institutions having similar objects to those of the Club.

8.    GENERAL MEETING

Within six weeks of the end of each financial year the members shall be summoned to an Annual General Meeting of which at least fourteen days’ notice in writing shall have been given.  In exceptional circumstances, such as a pandemic, the Annual General Meeting may be held electronically.

9.    ANNUAL ACCOUNTS

The financial accounts shall be examined by an Independent Examiner and submitted to the members at the Annual General Meeting.

10.    AMENDMENTS TO THE CONSTITUTION

The constitution may be amended by a two-thirds majority of the members present at an Annual or Special General Meeting, provided that fourteen days’ notice of the proposed amendment has been sent to all members and providing that nothing therein contained shall authorise any amendment which shall have the effect of the Club ceasing to be a charity.
